Comici Inc., a company registered in Japan with a business address of 2-2-1 Kanda Nishikicho, Tokyo Kanda Square 11th floor, Chiyoda-ku, Japan (“Comici,” “we,” “us,” or “our”) provides manga digital content distribution services through our website comici.co.jp (the “Website”) and mobile application (the “App”), (collectively the “Services”). 

These terms of use (these “Terms of Use”) govern all access to and use of the Services by the User, as further described herein. By accessing or using the Services, whether through the Website or the App, the User agrees to be bound by these Terms of Use and any other policies referenced herein.

1. Definitions

“Intellectual Property Rights” means all intellectual and industrial property rights, including, without limitation, patents, rights to inventions, utility models, copyright and related rights, trade and service marks, trade, business and domain names, rights in trade dress and get-up, goodwill, rights to sue for passing off or unfair competition, design rights, rights in computer software, database rights, semiconductor topography rights, moral rights, rights in confidential information (including know-how and trade secrets), and any other similar or equivalent rights or forms of protection, whether registered or unregistered, and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights which subsist or may subsist now or in the future anywhere in the world. 

“Paid Services” means any Services offered by Comici that require payment of fees by the User, including without limitation Paid Subscription, Individual Purchase, and Ticket, as well as any other paid content that Comici may make available from time to time.

“User” means any person using the Services.

2. Services

2.1. Website free access. Comici may provide certain limited Services that can be accessed free of charge through its Website (“Website Free Access”). The User’s access to and use of Website Free Access shall continue until such access is modified, restricted, or terminated by Comici, in its sole discretion. Website Free Access is limited to specific content or features determined by Comici and may not include full functionality or access to all Services. Website Free Access is provided “as is” and free of charge. Comici makes no warranties of any kind and shall have no indemnity, support, or other obligations with respect to Website Free Access. Access to additional Services requires a valid Paid Subscription, Individual Purchase, or Ticket as described in these Terms of Use.

2.2. Trial subscription. Comici may provide access to the Services on a trial basis free of charge (a “Trial Subscription”). The User’s access to and use of the Trial Subscription shall automatically terminate upon the earliest of (a) the expiration of the fourteen (14) day trial period for which the User registered to use the Services; (b) the commencement date of any Paid Subscription purchased by the User for the Services; or (c) termination of the Trial Subscription by Comici at its sole discretion (collectively, the “Trial Period”). Access to the paid features of the Services under a Trial Subscription will be permanently lost unless a Paid Subscription is purchased before the end of the Trial Period. Notwithstanding anything to the contrary in these Terms of Use, Comici provides Trial Subscriptions “as is” and will have no warranty, indemnity, support, or other obligations of any kind with respect to Trial Subscription.

2.3. Paid Subscription. Comici offers a monthly paid subscription plan that provides the User with access to the Services during an active subscription period (“Paid Subscription”). A Paid Subscription begins on the date of purchase and automatically renews on a monthly basis, unless terminated by the User in accordance with the cancellation terms and conditions of the applicable third-party payment provider. The User is responsible for managing their subscription and cancellation through their respective account with the applicable third-party payment provider. Subscription fees are charged through the payment method selected by the User at the time of registration, as further defined in Section 4.
For clarity, if the User cancels a Paid Subscription, the User will continue to have access until the end of the then-current billing period. We do not provide prorated refunds or credits for any unused or remaining portion of the billing period, except as required by applicable law or the applicable third-party payment provider’s terms.
The User’s access to and use of the Services under a Paid Subscription will terminate upon (a) cancellation by the User (effective at the then-current billing period), or (b) termination by Comici pursuant to these Terms of Use.

2.4. Individual Purchase. Comici offers the User the option to make a one-time payment to access specific Services (“Individual Purchase”) instead of Paid Subscription. The Individual Purchase shall be processed through a Comici’s payment provider or other methods specified by Comici. Unless otherwise stated at the time of purchase, access granted via Individual Purchase is valid for a period of fifteen (15) days from the date of purchase. At the end of this period, access will automatically terminate unless the User purchases access again. Individual Purchases are non-transferable and non-refundable.

2.5. Tickets. Comici may issue or make available tickets that allow the User to view, or access specific Services (a “Ticket”). The conditions of use, validity, and expiration of each Ticket are determined by Comici and displayed within the Website or App at the time of purchase or issuance. Tickets have no cash value, and are non-transferable and non-refundable. Tickets will automatically expire upon use or at the end of the applicable viewing period as displayed within the Website or App.

2.6. Wait-free access. Comici may offer a “Wait-Free” access feature that allows the User to access certain Services free of charge after waiting twenty-three (23) hours (“Wait-Free Access”). Wait-Free Access is available only for eligible content, as determined and displayed by Comici within the Website or App. The scope, availability, and duration of Wait-Free Access may vary depending on the content and are subject to change or termination by Comici at any time, at its sole discretion.

2.7. Account creation. To access Paid Services, the User must create an account with Comici by providing current, accurate and complete information as required by the applicable registration form. The User agrees that, if any information provided by the User is untrue, inaccurate, not current, or incomplete, we reserve the right to suspend the User’s use of the Services.
The User must be of legal age (the age of majority in the User’s jurisdiction), or, if the User is at least thirteen (13) years old but under the age of majority, the User must have obtained the consent of a parent or legal guardian. Access to the Services is strictly prohibited for Users under thirteen (13) years old.

2.8. Restrictions. The User agrees not to, and not to allow any third party to:

  • Copy, reproduce, screenshot, screen-record, capture, record, distribute, transmit, publicly display, or otherwise make available any part of the Services or Materials;
  • Infringe or violate any Intellectual Property Rights, privacy rights, publicity rights, or other legal rights of Comici or any third party;
  • Modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise analyze the source code, structure, or functionality of any part of the Services or related software;
  • Remove, obscure, or alter any Intellectual Property Rights appearing in the Services or Materials;
  • Create derivative works based on the Services or Materials;
  • Use the Services or Materials for any commercial or unauthorized purpose without Comici’s prior written consent;
  • Exploit or attempt to exploit any security vulnerabilities, errors, or bugs within the Services or related systems;
  • Transmit, distribute, or introduce viruses, malware, or other harmful code, or engage in any conduct that interrupts, damages, or limits the functionality of the Services or related systems;
  • Access or use the Services by automated means (including bots, scripts, or scraping tools) or in any manner that places an unreasonable load on Comici’s servers or networks;
  • Engage in any other act that Comici reasonably determines to be inappropriate or detrimental to the operation or integrity of the Services;
  • Upload, disclose, collect, or harvest personal data of any individual without proper authorization;
  • Impersonate any person or entity, misrepresent affiliation, or attempt to gain unauthorized access to any accounts, systems, or networks;
  • Interfere with or disrupt the operation, security, or integrity of the Services, servers, networks, or infrastructure, including by overloading, flooding, spamming, or similar activities;
  • Share, transfer, sell, or otherwise provide access to the User’s account to any third party, or use another person’s account without authorization;
  • Engage in any act that violates these Terms of Use, applicable laws and regulations, or public order and morals.

The User is responsible for all activities occurring under their account and for maintaining the confidentiality of their login credentials. The User agrees to promptly notify Comici of any unauthorized use of their account or credentials.

2.9. Suspension and ending of the Services. If the User does not use the Services for a period of two (2) years or more (including, without limitation, failure to log in to the User’s account, which shall constitute inactivity for purposes of these Terms of Use), Comici may suspend and/or terminate the User’s access and use of the Services without prior notice to or consent of the User. In such event, Comici will not refund or reimburse any fees and costs incurred by the User in connection with the use of the Services. Comici may suspend and/or terminate a part or all of the Services without the permission of the User if the User commits any of the acts described in Section 2.8. In such cases, Comici will not refund or reimburse any fees and costs incurred by the User in connection with the use of the Services.

2.10. Changes to the Services. Comici reserves the right to change, add to, interrupt or discontinue the Services, in whole or in part. For discontinuation of the Services or a substantial part thereof, Comici will provide the User with at least thirty (30) days’ prior notice. Comici shall not be liable for any damages arising from changes to or discontinuation of the Services.

2.11. Privacy. Comici respects the User’s privacy and will only use the personal data about the User obtained through the Services in accordance with our Privacy Policy, located on https://comici.co.jp/privacy_en. Comici may update the Privacy Policy from time to time, and will provide notice of such update to the User at the email address registered with the Account. Such updates will be effective thirty (30) days after such notice to the User.

3. Proprietary rights

3.1. Ownership of rights. All Intellectual Property Rights and other rights in and to the Services and all materials made available through them remain the exclusive property of Comici and/or its licensors. These materials include, without limitation, software, source code, databases, text, images, graphics, illustrations, user interface elements, logos, icons, audiovisual content, artworks, characters, and all related data (collectively, the “Materials”).

3.2. License to access and use. Comici grants the User a limited, non-exclusive, non-transferable, and revocable right and license to access and use the Services solely for the User’s personal and non-commercial entertainment purposes, in accordance with the functionality of the Services and any applicable subscription plan.

The User’s access and use of the Services does not transfer any ownership rights in the Materials. The User is only granted a right to temporarily view or read the licensed Materials as permitted by the Services.

4. Fees and payments

4.1 Fees for Paid Services. Access to and use of Paid Services require payment of fees as determined by Comici. The applicable fees, pricing conditions, and payment terms for each Paid Service will be clearly displayed by Comici prior to purchase or subscription.

4.2. Payment methods. Paid Services shall be paid by the User via Comici’s authorized payment providers (such as Apple Pay, Google Pay, or other methods specified by Comici). All prices, applicable taxes, and payment terms will be clearly displayed before purchase. Payments are final and non-refundable, except where required by applicable consumer laws. All payments are handled by the respective payment providers in accordance with their own terms and privacy policies.

4.3. User obligations. By purchasing or subscribing to any Paid Services, the User agrees to provide accurate, current, and complete payment information and to maintain it up to date. The User authorizes the applicable payment provider to charge all fees associated with the User’s purchases or subscriptions through the selected payment method, including applicable taxes. The User is responsible for all charges incurred under their account, including those made by any person using the account or associated payment method.

4.4. Fees changes and notifications. Comici may modify the fees or pricing conditions applicable to the Paid Services at any time. Any such changes will be communicated to Users in advance by notice displayed within the App or through other reasonable means, and will take effect no earlier than at the next billing cycle or purchase opportunity. If the User does not agree to the updated fees, the User may cancel their Paid Subscription before the renewal date. Continued use of the Paid Services after the effective date of the change constitutes acceptance of the new fees.

4.5. Disputes and third-party payment providers. Any payment disputes, chargebacks, or issues related to billing shall be handled directly between the User and the applicable payment provider. Comici shall not be liable for any losses arising from such disputes, except in cases of willful misconduct or gross negligence by Comici. Comici does not guarantee the availability or performance of third-party payment systems and may change or suspend available payment methods at any time.

5. Advertising and third-party content.

The User acknowledges and agrees that the Website and App may display advertisements, promotional content, or links provided by Comici’s advertising partners and third-party service providers (including, without limitation, MyAnimeList Display Ads, Apple Search Ads, Google Ads, and Meta Ads) (collectively, the “Third-Party Advertisements”). These Third-Party Advertisements, as well as any content, links, or resources provided through them, are made available solely for the User’s convenience. Comici does not control, endorse, or guarantee the accuracy, completeness, or reliability of any third-party content, websites, or resources, and accepts no responsibility for them or for any loss or damage arising from the User’s interaction with or reliance on them. If the User chooses to access, interact with, or make purchases through any third-party advertisements or linked websites, the User does so entirely at their own risk and subject to the terms and conditions and privacy policies of the applicable third-party providers.

6. Warranty disclaimer.

THE SERVICES, MATERIALS, AND ANY OTHER CONTENT MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH NO WARRANTIES OF ANY KIND. COMICI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICES, MATERIALS, AND ANY OTHER CONTENT MADE AVAILABLE THROUGH THE SERVICES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF QUALITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. COMICI MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICES, MATERIALS, OR ANY OTHER CONTENT MADE AVAILABLE THROUGH THE SERVICES WILL BE ERROR-FREE OR THAT ANY ERRORS WILL BE CORRECTED, NOR DOES COMICI GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED OR SECURE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

7. Limitation of liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMICI, ITS AFFILIATES, SUBSIDIARIES, PARTNERS, LICENSORS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE TO THE USER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE SERVICES, MATERIALS, OR ANY OTHER CONTENT MADE AVAILABLE THROUGH THE SERVICES, EVEN IF COMICI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, COMICI’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED FIFTY (50) US DOLLARS. COMICI SHALL NOT BE LIABLE FOR ANY INTERRUPTION, DELAY, OR FAILURE OF THE SERVICES, WHETHER SCHEDULED OR UNSCHEDULED, OR FOR ANY RESULTING LOSS OR DAMAGE. NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR COMICI’S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

8. Miscellaneous

8.1. Governing law and dispute resolution. These Terms of Use shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court.

8.2. Transfer and assignment. The User may not assign or transfer these Terms of Use without the prior written consent of Comici, and any prohibited assignment will be null and void. We may transfer, assign, or delegate these Terms of Use and its rights and obligations to another entity. We will notify the User if this happens and we will ensure that the transfer will not affect the User’s rights under these Terms of Use.

8.3. Severability. If any provision of these Terms of Use is found to be illegal, unenforceable, or invalid, the remaining portions of these Terms of Use will remain in full force and effect.

8.4. Changes to these Terms of Use. Comici reserves the right to amend these Terms of Use when necessary or in the general interest of the User. When Comici changes or updates these Terms of Use in accordance with the preceding paragraph, we will post the changed or updated terms and conditions and its effective date on the Website and/or the App and notify the User. Continued use constitutes acceptance of the updated Terms of Use. If the User does not agree, the User must stop using the Services.

8.5. Entire agreement. These Terms of Use constitute the entire agreement between the User and Comici regarding the use of the Services and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the same subject matter.

8.6. Contact. If you have any questions, feedback, or concerns regarding these Terms of Use or the Services, or wish to obtain a copy of these Terms or related records, please contact Comici through the contact form available on the Website or within the App. Comici will review and respond to inquiries within a reasonable period.
